During a sale you will use two places, and they do different jobs.

The client portal

Access is by invitation only. You sign in with a link sent to your email address, so there is no password to remember.
Where the sale stands: the current phase, the next milestone and the next steps, each pointing to the page where the work happens.
The information we need to prepare the valuation, the teaser and the CIM. Each request explains what we need, for which period and in what format, and what to do if it doesn’t exist.
Every document we prepare for the sale, from the engagement letter to the purchase agreement issues list. Each one stays on a single line from first draft to final version.
The milestones for each phase, with target dates. Milestones that are your decision are marked as such.
Appears once marketing begins: how many buyers have been contacted, signed NDAs, received the CIM, met management and made proposals, with each buyer’s stage and next step.
For anything that doesn’t belong to a specific request or document. Questions about a particular item are best asked in that item’s comments, so the discussion stays with it.

Working through a request

1

Open the item

Read the description. It says what we need, the period it should cover and the format that works best.
2

Attach the files in the comments

Add a note if anything needs explaining, such as a change in accounting or a period that is missing.
3

Mark it complete

We review it and come back to you in the same thread if we need anything else.
If a document doesn’t exist, say so in the comments and mark the item complete. A clear “we don’t have this” is more useful than an item left open.

Reviewing a draft

On the Deliverables page, open the document, comment on the draft, and tick it off when you approve it. We add the final version to the same item, so the whole history of each document stays in one place.

The data room

The data room opens to buyers in the diligence phase. It holds the documents buyers review in depth, and buyers ask their questions through it, so every answer is recorded in one place. We coordinate the data room and review materials for relevance, consistency with the sale materials and appropriate disclosure. Legal, tax and accounting matters are addressed with your specialist advisers. We decide with you what each buyer can see and when; more sensitive material, such as customer contracts or employee details, is released in stages through agreed access controls. Please send documents to us rather than uploading them yourself. The full diligence request list is kept in the data room, not in the portal. The portal’s Requests page covers only what we need to prepare the sale.
